These Terms and Conditions ("Terms") govern access to and use of the Teamboks platform, APIs, SDKs, and related services (the "Service"), provided by Teamboks ApS("Teamboks", "we", "us", or "our").
The Service is currently provided as part of an invitation-only Private Beta. By accessing or using the Service, you ("Customer", "you") agree to be bound by these Terms.
Teamboks provides product infrastructure for organizational structure, roles, permissions, feature control, and auditability.
The Service is provided solely as early access. It is intended for evaluation, testing, and feedback — not for reliance in production-critical, safety-critical, or regulated environments.
The Service is provided "as is" and "as available". It may contain bugs, errors, or incomplete functionality.
You agree not to rely on the Service for production-critical functionality. Teamboks makes no guarantees regarding correctness, availability, performance, or outcomes.
During the Private Beta, Teamboks may modify, suspend, or discontinue any part of the Service at any time, including APIs, SDKs, data models, and functionality.
Breaking changes may occur without notice. No service level commitments, uptime guarantees, or backward compatibility guarantees apply.
Should we decide to discontinue a feature or service, we will provide written notice at least 3 months in advance where reasonably possible.
You are responsible for all activity performed using your account, credentials, API keys, and configuration.
Teamboks is not responsible for customer-defined roles, permissions, access rules, or misconfiguration, including any resulting access, authorization, or compliance issues.
Teamboks ApS owns all rights to the Service, including the platform, software, APIs, SDKs, documentation, and all related intellectual property. You are granted a non-exclusive, non-transferable, time-limited license to use the Service in accordance with these Terms.
You retain all ownership rights to any content, data, or materials that you create or upload to the Service ("Customer Data"). All content that you produce or upload to the Service belongs to you.

You are responsible for all content on your account. Violations may result in immediate suspension or termination of access. You shall indemnify and hold Teamboks harmless from any claims arising from content on your account or your breach of these Terms.
When processing end-user data on your behalf, Teamboks acts as a data processor. You act as the data controller and are responsible for lawful collection and use of such data. The processing of personal data is governed separately by our Data Processing Agreement.

Teamboks will implement appropriate technical and organizational security measures to prevent unauthorized access, loss, destruction, or disclosure of Customer Data, in accordance with applicable data protection law and industry best practices.
Customer Data is handled with a high level of confidentiality and integrity. However, no system is completely secure, and Teamboks is only liable for security breaches that could reasonably have been prevented.
During the Private Beta, you agree to treat the Service, including unreleased features, API design, pricing, and technical documentation, as confidential information. You shall not disclose such information to third parties without prior written consent from Teamboks.
We reserve the right to analyze general usage patterns on the Service and create anonymous, aggregated statistics that may include your data, but never in a form that can be traced back to you or your organization. We may publish such anonymous analyses at our discretion.
There is no binding period. You may stop using the Service at any time.
Teamboks may suspend or terminate access immediately and without notice if you:
Teamboks may also terminate access to protect security, integrity, compliance, or to end the Private Beta, with reasonable notice where possible.
The Service is not a backup service. You are responsible for maintaining your own backups.
Upon termination, you will have up to 90 days to retrieve and download your Customer Data from the Service. It is solely your responsibility to extract and save any relevant data within this period.
After 90 days, Customer Data will be permanently deleted from our systems, except where retention is required by applicable law.
To the maximum extent permitted by law, Teamboks disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
To the maximum extent permitted by law, Teamboks shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, profits, or business opportunities, including damages caused by cyberattacks, viruses, or other forms of force majeure.
Teamboks' total aggregate liability under these Terms shall not exceed the fees paid by you to Teamboks in the twelve (12) months preceding the event giving rise to the claim.
We may make minor updates to these Terms without notice, such as corrections to grammar, product names, contact information, or web addresses.
Material changes to these Terms will be communicated with at least 1 month's written notice. The current version of these Terms will always be available on our website. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
We may assign this agreement to another legal entity (for example in connection with a corporate restructuring or sale), provided that we notify you at least 14 days in advance.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms are governed by the laws of Denmark, without regard to conflict of law principles.
Any disputes that cannot be resolved through negotiation shall be subject to the exclusive jurisdiction of the Danish courts.
